These Terms of Service ("Terms", "Agreement") form a legally binding contract between All Good Ltd. (Israeli company, "the Company", "we", "us", "our") and you, the user of the Drivo Driver mobile application and any related services (the "Service").
BY DOWNLOADING, INSTALLING, REGISTERING FOR, OR USING THE SERVICE, YOU EXPRESSLY AGREE TO BE BOUND BY EVERY PROVISION OF THESE TERMS. If you do not agree, you must immediately uninstall the Service and cease all use.
1. Nature of the Service — independent contractor
The Service is a technology platform that connects independent professional drivers ("Drivers", "Users") with passengers ("Riders") who wish to obtain transportation.
The Company is NOT a transportation provider, taxi operator, taxi dispatcher, employer, agent, fiduciary or principal of any Driver. The Driver acknowledges and agrees that:
account, with their own vehicle, licence, insurance, and operating authority;
joint venture, or franchise relationship between the Company and the Driver;
of their vehicle, the safety and welfare of any passenger or property, compliance with all applicable laws, payment of all taxes, social insurance, fees, levies, fines and penalties, and for obtaining and maintaining every licence, permit, certification, registration and insurance policy required by law or by any regulator.

2. Eligibility
The Driver represents, warrants and covenants that they:
transportation licence required by their jurisdiction;
the vehicle is properly registered, road-worthy, mechanically safe, and covered by a valid commercial passenger insurance policy adequate for the Driver's jurisdiction;
unsafe for them to provide passenger transportation;

- hold a valid driving licence and any commercial taxi / passenger
- own or lawfully operate the vehicle they list on the Service, and that
- have no convictions or pending charges that would make it unlawful or
- will pass any background check the Company requires;

The Company reserves the right to refuse, suspend or terminate any Driver at any time, with or without cause, with or without notice, and the Driver waives any claim arising out of such action.
3. The Driver's responsibilities
The Driver is solely and exclusively responsible for, and the Company disclaims all responsibility regarding:
(a) the condition, safety and roadworthiness of the vehicle; (b) the safety and conduct of every passenger transported; (c) compliance with all traffic, transport, employment, tax, consumer protection and data-protection laws; (d) any accident, collision, injury, death, property damage or loss occurring before, during or after any trip — whether or not the Service is open on the device; (e) any dispute with a Rider, including disputes over fare, route, lost items, behaviour, or quality of service; (f) all interactions with public authorities, including police, customs, immigration, ministry of transport and tax authority; (g) any sub-driver, replacement driver, or third party operating the vehicle while it is associated with the Driver's account.
The Driver shall not:
sexual orientation, disability or any other protected characteristic;
incapacity, or a minor unaccompanied unless the Driver complies with every applicable law;

Any breach of this section is a material breach entitling the Company to immediately terminate the Driver's account, withhold pending payouts to the extent permitted by law, and pursue any legal remedy.
4. The Service is provided "AS IS"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, with all faults and without warranty of any kind. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY EXPRESSLY DISCLAIMS all warranties, whether express, implied, statutory or otherwise, including (without limitation) warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, uninterrupted access, absence of viruses or harmful components, and that the Service will meet the Driver's requirements.
The Company does not warrant that:
any particular time or location;
reliable.
- the Service will be uninterrupted, error-free, secure, or available at
- defects will be corrected;
- the Service is free of viruses or other harmful components;
- the results obtained from using the Service will be accurate or
The Driver expressly agrees that the use of the Service is at the Driver's sole risk.
5. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS OR LICENSORS BE LIABLE TO THE DRIVER OR ANY THIRD PARTY for:
(a) any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, revenue, data, goodwill, use, or other intangible losses, whether based in contract, tort, negligence, strict liability or otherwise, and even if the Company has been advised of the possibility of such damages;
(b) any damage, loss, injury, death, property damage, fine, or penalty caused by, arising out of, or related to: - the operation of any vehicle; - the conduct of any Rider or third party; - any inaccuracy in mapping, routing, fare estimation, ETA, or any other Service output; - any failure, interruption, or unavailability of the Service; - any third-party service (Google Maps, OpenStreetMap, Waze, payment processor, OTP carrier, etc.);
(c) any amount that, in the aggregate, exceeds the lesser of: (i) the total fees actually received by the Company from the Driver during the three (3) calendar months immediately preceding the event giving rise to the claim; or (ii) one hundred New Israeli Shekels (₪100).
This limitation applies even if any remedy fails of its essential purpose, and the Driver acknowledges that the Company would not enter into this Agreement without this limitation.
6. Indemnification
The Driver shall defend, indemnify and hold harmless the Company, its affiliates, officers, directors, employees, agents, contractors, suppliers, and licensors from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in any way connected with:
applicable law;
in whole or in part by the Driver, the vehicle, or any passenger of the Driver;
Driver;
property, privacy, publicity or other right;
any third party.

- any breach by the Driver of these Terms, the Privacy Policy, or any
- any death, personal injury, property damage, or financial loss caused

The Company reserves the right to assume the exclusive defence and control of any matter otherwise subject to the Driver's indemnification, in which event the Driver agrees to cooperate fully with the Company.
7. Fees, payouts and taxes
If the Service includes any payment functionality, fares are collected through the rider's selected payment method (cash, Bit, PayBox, credit card). The Driver is solely responsible for invoicing, declaring, reporting, withholding and paying every tax, social-insurance or other governmental charge arising from earnings on the Service. The Company may report aggregate earnings to the Israel Tax Authority or any equivalent authority as required by law.
The Company may charge the Driver platform fees, commissions, or subscription fees disclosed inside the Service or otherwise communicated. The Company reserves the right to change such fees at any time by posting an updated schedule inside the Service; continued use after the change date constitutes acceptance.
8. Suspension and termination
The Company may suspend, restrict or terminate the Driver's access to the Service at any time, with or without cause, with or without notice, including (without limitation) for: violation of these Terms; suspected fraud; passenger complaints; regulatory order; or business reasons.
The Driver may terminate their account at any time by emailing [email protected]. Termination does not relieve either party of obligations that by their nature survive (Sections 4–6, 9–14).
9. Intellectual property
The Service, including all software, designs, text, graphics, logos, icons, audio, video, data, databases, and the "Drivo" trademark and trade dress, is owned by the Company or its licensors and is protected by copyright, trademark, trade secret and other laws. The Company grants the Driver a non-exclusive, non-transferable, revocable, limited licence to use the Service in accordance with these Terms. The Driver acquires no other right or interest in the Service.
The Driver shall not remove, obscure or alter any proprietary notices on the Service.
10. Privacy
The Driver's use of the Service is also governed by our [Privacy Policy](PRIVACY_POLICY.md), which is incorporated into these Terms by reference. The Driver expressly consents to all data processing described in the Privacy Policy.
11. Modification of the Service and Terms
The Company may modify, suspend or discontinue the Service or any feature at any time without notice or liability. The Company may also modify these Terms at any time by posting an updated version inside the Service or at https://drivo.pro/legal/driver-terms. Continued use after the change date constitutes acceptance of the updated Terms.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.
Any dispute, controversy or claim arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts of Tel Aviv-Jaffa, and the Driver irrevocably submits to the exclusive personal jurisdiction of those courts and waives any objection to venue.
Class actions are waived. The Driver agrees to bring any claim only in the Driver's individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.
13. Force majeure
The Company is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including (without limitation) acts of God, war, terrorism, riot, civil unrest, government action, epidemic or pandemic, fire, flood, earthquake, power outage, internet or telecommunication failure, denial-of-service attack, supplier failure, strike, labour shortage, or any other event of force majeure.
14. Miscellaneous
Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between the parties regarding the Service and supersede any prior agreement.
No waiver. The Company's failure to enforce any provision shall not constitute a waiver.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
Assignment. The Driver may not assign these Terms without the Company's prior written consent. The Company may assign these Terms freely.
Notices. Notices to the Company shall be sent to [email protected]. Notices to the Driver may be sent to the contact details on file or surfaced inside the Service.
Language. These Terms are provided in English; a Hebrew translation may be supplied for convenience. In any conflict, the English version prevails.
